RBI issues Amendment Directions on review of regulatory framework including registration requirement for ‘NBFCs not availing public funds and not having customer interface’ (including ‘Type I NBFCs’)

The Reserve Bank of India, through its 2026 amendments to the NBFC framework, has introduced a critical safeguard on overseas investments by Type I NBFCs to curb regulatory arbitrage and opaque cross-border structures. Under the revised norms, NBFCs seeking to invest in financial services entities abroad must mandatorily obtain registration as Type I NBFCs, thereby bringing them within the regulatory perimeter and ensuring reporting, supervision, and accountability. At the same time, unregistered Type I NBFCs are prohibited from undertaking overseas investments in non-financial sectors, effectively preventing their use as passive conduits or proxy holding vehicles for global expansion. This dual restriction reflects RBI’s intent to ensure that cross-border financial exposures are transparent and traceable, while discouraging the creation of layered “shadow structures” that could obscure ownership, facilitate fund routing, or bypass domestic regulations. Overall, the measure strikes a balance between enabling legitimate international investments and strengthening regulatory oversight in line with global compliance and financial stability objectives.
