his SEBI circular provides a one-time relaxation for companies planning to launch public issues (IPOs or rights issues) by extending the validity of their SEBI Observation letters. Normally, these approvals expire within 12 to 18 months, but due to market volatility and subdued investor participation caused by geopolitical tensions in the Middle East, SEBI is allowing letters set to expire between April 1, 2026, and September 30, 2026, to remain valid until September 30, 2026. This move prevents companies from having to restart the entire regulatory filing process if they deferred their plans due to the current economic climate. To avail of this, the Lead Manager must provide an undertaking confirming that the updated offer documents still comply with the necessary ICDR regulations.
