COMPREHENSIVE DUE DILIGENCE CHECKLIST FOR FILING E-FORMS ON MCA

The Comprehensive Due Diligence Checklist for MCA E-Form Filings is a pre-submission verification framework used by professionals to ensure full legal, procedural, and technical compliance. It systematically verifies entity status, active DINs/DSCs, corporate meeting resolutions, statutory limits, and required attachments against internal company records. By cross-checking draft forms with physical registers and MCA portal data, it prevents form rejections, resubmissions, and non-compliance penalties.

Checklist

Why it matters

1.

Read the Instruction Kit available for that specific e-form on MCA

Never skip this! Every form (e.g., DIR-12, MGT-14, INC-22) has different attachment rules. The Kit is your essential tool for that form.

2.

Verify DIN is active and updated on the MCA Portal.

If a Director's DIN is deactivated or has a mismatch in the name/DOB, the form will be rejected immediately. Cross-check with the Master Data.

3.

Check DSC registration on the portal. Ensure DSC is valid and not expired.

The DSC must be registered on MCA before its first use. If the DSC expires on the signing date, the signature will fail. Tip: Check expiry 1 month in advance.

4.

Download and verify Company Master Data from the portal.

Always check the Exact CIN, Registered Office address, and Authorized Capital on the portal before filling. Never type these from memory; copy-paste from the master data to avoid typos.

Attachments

Checklist

Why it matters

1.

Complete attachments and ensure they are signed/dated by the relevant authorities.

Missing annexures are the First reason for "Pending for Resubmission" (PFR). Double-check the list in the Instruction Kit.

2.

Page Numbering on every single page of the attachment.

MCA officers review PDFs on screen. If a 20-page agreement is not numbered and they miss a page, they will reject it. Number as "Page 1 of 20".

3.

Attach files in the prescribed order (as per the Instruction Kit).

If the Kit says attach Board Resolution first and MOA second, do exactly that. Do not shuffle the order.

4.

Convert to PDF and compress the file size to the minimum possible.

MCA portal has a size limit (usually ~2-6 MB). Use a PDF compressor. If the file is too heavy, the upload will fail or the portal will hang.

Checklist

Why it matters

1.

Match dates exactly with the Minutes Book and Board Resolution.

If the Board Meeting was held on 05-09-2026, ensure the date in the form says 05/09/2026. A single date mismatch is a fatal error.

2.

Double-check financial figures (Authorized Capital, Turnover, etc.) against the attached financials.

MCA systems cross-verify totals. If the sum of shares in the form doesn't match the total capital in the attachment, the system will throw a validation error.

Checklist

Why it matters

1.

Authority of DSC: Ensure the DSC used belongs to the person authorized by the Board (e.g., MD, CFO, or CS).

Don't just pick any Director's DSC. Check the Board Resolution specifically stating who is authorized to sign this particular form.

2.

Professional Certification (if applicable): Affix your own DSC (as a CS/CA/CMA) carefully in the certification field.

Checklist

Why it matters

1.

Payment: If selecting "Pay Later", note the Challan Expiry Date.

If you select Pay Later, you must pay the fees via net banking/credit card before 11:59 PM on the challan expiry date. If you miss it, the transaction is cancelled and you have to start over.

2.

Track the status 1-2 days after filing to ensure it is "Approved".

If the status is "Pending for Resubmission" (PFR), read the defect memo carefully, rectify the error, and resubmit within the given time (usually 15 days) to avoid re-filing fees.

3.

File Early! Never wait for the last day or the exact due date.

The MCA portal crashes frequently on the last 2 days of the month due to heavy traffic. File at least 5-7 days before the deadline to save your mental peace.
