Qualification – Qualified Company Secretary
Preferred Exposure: Demonstrable exposure to listed-company compliance
and SEBI (LODR) Regulations is a distinct advantage.
Key Responsibilities
Board & Governance Management: Own the end-to-end lifecycle of Board,
Committee, and shareholder meetings (agendas, notices, resolutions,
minutes, and action tracking). Counsel the Board and senior leadership
on governance frameworks, Secretarial Standards, and emerging best
practices.
Regulatory & Statutory Compliance: Safeguard strict compliance with
the Companies Act, 2013, SEBI Regulations, and applicable listing
obligations. Drive all statutory, periodic, and event-based filings
with the MCA, SEBI, and stock exchanges.
Operations & Records Maintenance: Govern compliance specific to a
public limited company, managing relationships with stock exchanges,
RTAs, depositories, and external counsel. Maintain all statutory
registers, records, corporate policies, and compliance documentation
to audit-ready standards. • Strategic Growth & Documentation: Support
leadership on restructuring, fundraising, acquisitions, and expansion
initiatives from structuring to execution. Draft, review, and
coordinate critical legal and corporate documents. Design and embed
scalable secretarial processes.
Stakeholder Liaison: Act as the principal interface between internal
functions (Finance, Legal, Investor Relations) and external bodies
(Auditors, Regulators, Shareholders). Track amendments across
corporate law and proactively brief leadership.
